1. General
These Terms are an agreement between the operator of the Ventra website (the "Platform", "we") and any person or company using the website (the "User", "you"). The operator's details are listed in the "Operator" section.
By using the website, opening its pages, registering, listing projects, or sending requests, resumes, applications or offers, you agree to these Terms, the Privacy Policy and the Cookie Policy. If you do not agree, do not use the website.
Only people aged 18 or over with full legal capacity may register and act on the Platform. If you act on behalf of a company, you confirm that you are authorised to do so.
2. What the Platform does
Ventra is an online platform where owners list businesses, online projects, franchises and digital products for sale, look for partners, investors and team members, and where buyers, investors and candidates find projects and contact their owners.
- a catalog of projects with pages, figures and materials;
- requests, messaging and deal rooms with access to documents;
- purchase offers and investor financing offers;
- resumes, vacancies and applications;
- a directory of venture funds with introductions through our team;
- paid services: reviews, audits and deal support according to the price list on the website.
The Platform is not a party to deals between users. It is not a broker, investment adviser, financial or credit institution, it does not accept or hold the parties' money, and it does not give investment, legal or tax advice. You make all deal decisions yourself.
3. Account
- Provide accurate information and keep it up to date.
- Keep your password secret. Actions taken under your account are considered yours.
- If you suspect someone else has accessed your account, tell us immediately.
- One account belongs to one person. Accounts may not be transferred or sold.
4. Listing projects
By listing a project you confirm that you have the right to dispose of it or act on the owner's instructions, and that the information, figures and materials are accurate and do not infringe third-party rights, the law or these Terms.
A project is published after moderation. Changes to a published project are reviewed again. We may reject a project, unpublish it, request supporting documents or ask you to correct the description.
You grant the Platform a free, non-exclusive right to display the project's materials on the website, in newsletters and in promoting the Platform for as long as the project is listed. The rights to the project and materials remain yours.
Listing a project is free. Paid services are provided only at your request.
5. What the verification marks mean
| Mark | What was done |
|---|---|
| Checked | The Platform team reviewed the listing and its materials by hand and found no obvious contradictions between what is claimed and what is provided. |
| Data confirmed | Key figures, such as revenue, are confirmed from an external source, such as an export from a payment system, as of the confirmation date. |
| Audit passed | A paid business review of the project was carried out at the request of the owner or a buyer. |
No mark is a legal opinion, a guarantee that all information is accurate, a valuation or a recommendation to enter into a deal. Business figures change over time. Before a deal, carry out your own due diligence with a lawyer and a financial specialist.
6. Materials and deal confidentiality
Access to a project's private materials is granted by its owner. By receiving access, you agree to use the materials only to evaluate the deal and not to copy them or pass them to third parties without the owner's consent.
The Platform records who opened private materials and when, so that the owner can see who is interested.
7. Resumes, vacancies and applications
Resumes with open visibility are visible to founders of projects that have indicated they are hiring. Resumes with hidden visibility are visible only to the projects you apply to.
Founders use candidates' data only to contact them about a vacancy and to hire, and do not pass it to third parties or use it for marketing.
The Platform is not an employer or recruitment agency and is not responsible for the terms of employment agreed between the parties.
8. Purchase and financing offers
Purchase offers and investor offers sent through the website express intent and are not a binding offer or obligation for either party. The parties agree and document the terms of a deal separately, outside the Platform.
The investor directory is compiled from public sources. The funds are not Platform partners, and we do not guarantee their response, interest or investment. Introductions to funds go through our team.
9. What is prohibited
- posting false information, other people's projects without authority, or materials you have no rights to;
- offering illegal activities, pyramid schemes, schemes promising guaranteed returns, or prohibited goods;
- deceiving users, soliciting prepayments or data, or impersonating another person or company;
- harvesting user data, sending spam, or scraping the website;
- attempting to access other people's accounts, materials and data, bypassing access restrictions, or uploading malicious code;
- insulting or threatening others, or publishing unlawful material.
In case of a violation we may, without notice, hide a project, restrict features or block an account, and where there are signs of a crime, pass information to the competent authorities.
10. Reports, blocking and zero tolerance
Offensive, fraudulent, illegal or misleading content, harassment and threats are not allowed on the Platform. We have zero tolerance for such violations in projects, messages and resumes.
- You can report a listing, message, resume or user with the "Report" button on the website and in the app.
- The Platform team reviews reports within 24 hours, removes violating content and blocks the accounts of violators.
- You can block any user: after that, messaging between you is impossible in both directions. You can unblock them at any time.
- The person you report will not know who reported them.
11. Paid services
The price and scope of paid services are shown in the price list on the website or agreed separately. A service starts once its scope is agreed and paid for, unless agreed otherwise. The result of a service reflects the state of the project on the date of the review.
12. Intellectual property
The design, software code, texts and logo of Ventra belong to the Platform. Content uploaded by users belongs to them. Fund logos and names in the directory belong to their owners and are used for identification.
13. Liability
The website is provided as is. We work to keep it running without interruption but do not guarantee this.
- The Platform is not responsible for the accuracy of information published by users, for the performance of agreements between them, or for the outcome of deals.
- The Platform is not liable for lost profits or indirect losses.
- If the Platform is nevertheless liable, its liability is limited to the amount you paid us for services in the last 12 months.
These limitations do not apply where the law does not allow them.
14. Deleting your account
You can unpublish your projects at any time and delete your account yourself: in the app under Profile, or on the website on the Account deletion page. The account, projects, resume and messages are deleted immediately. If you cannot access the account, send a request using the form on this page.
15. Changes to the Terms
We may update these Terms. The new version is published on this page with its date. We give advance notice of material changes on the website or by email. By continuing to use the website after a new version takes effect, you accept it.
16. Disputes and governing law
Please write to us first: we respond to complaints within 30 days. If a dispute cannot be resolved through negotiation, it is governed by the law of the operator's country of registration stated in the "Operator" section, unless the law of the user's country requires otherwise.
